A Mutual Non-Disclosure Agreement (NDA) helps protect confidential information such as trade secrets, customer data, plans, employee data…etc. With a Mutual NDA, both parties to a transaction can share this confidential information and ensure it’s kept private and confidential.

This Mutual Non-Disclosure Agreement contemplates the need of each party to a transaction or potential transaction to evaluate confidential information prior to engaging in the transaction (such as an investment, acquisition, software development). It also provides that the non-disclosure obligations will survive for at least 3 years, and that the other party may not use the confidential information to its competitive advantage nor to the detriment of the disclosing party.

You will receive a word document containing your Non-Disclosure Agreement (NDA) as soon as you complete your online questionnaire, along with a memo explaining how to use the document. You will have the option of submitting your document for review by an attorney a single time.
